Welcome to DARCSUD. These Terms and Conditions (“Terms”) govern your use of the DARCSUD website located at https://www.darcsud.com (the “Website”) operated by DARCSUD LLC (“DARCSUD,” “we,” “our,” or “us”).

By accessing or using this Website, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use the Website or any services provided through it.

1. Eligibility

By using this Website, you represent and warrant that you are at least 18 years of age or the age of majority in your jurisdiction. You may not use the Website or purchase products if you are located in a country that is subject to U.S. sanctions or if you are listed on any U.S. government list of prohibited or restricted parties.

All orders are subject to acceptance by DARCSUD. We reserve the right to cancel or refuse any order at our sole discretion, including in cases of pricing errors, suspected fraud, or inventory issues.

You agree to provide complete, current, and accurate billing and shipping information. You authorize us to charge your provided payment method for all purchases made.

In the event of a pricing or typographical error, we reserve the right to cancel orders placed at an incorrect price. Attempts to dispute legitimate charges or engage in fraudulent chargebacks may result in suspension of your account and legal action.

4. Shipping and Delivery

Orders are typically processed and shipped within 1–2 business days. Shipping timeframes are estimates only and are not guaranteed. Title and risk of loss pass to you upon our transfer of the order to the shipping carrier.

DARCSUD is not responsible for delivery delays caused by carriers, incorrect addresses, adverse weather, or other factors beyond our control.

5. Returns and Refunds

We offer a 30-day return policy on eligible products. To qualify, items must be:

Unused,
In original packaging and resalable condition,
Accompanied by proof of purchase.

Return shipping is the customer’s responsibility unless the return is due to our error. Original shipping charges are non-refundable.

6. User Conduct

You agree not to:

Use the Website for any unlawful, fraudulent, or harmful purpose;
Attempt to gain unauthorized access to any part of the Website or systems;

DAMAGES EXCEEDING THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

This limitation applies regardless of the theory of liability and even if advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless DARCSUD, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys’ fees) arising from:

12. Governing Law and Jurisdiction

Mobile Terms of Service

The DARCSUD mobile message service (the “Service”) is operated by DARCSUD (“DARCSUD”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to DARCSUD’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of DARCSUD through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with DARCSUD. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. Text the single keyword command STOP to +18667675761 or click the unsubscribe link (where available) in any text message to cancel. You’ll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other DARCSUD mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.

Affiliate Terms of Use

As an authorized affiliate (Affiliate) of DARCSUD, you agree to abide by the terms and conditions contained in this Agreement (Agreement). Please read the entire Agreement carefully before registering and promoting DARCSUD as an Affiliate.

Your participation in the Program is solely to legally advertise our website to receive a commission on memberships and products purchased by individuals referred to DARCSUD by your own website or personal referrals.

By signing up for the DARCSUD Affiliate Program (Program), you indicate your acceptance of this Agreement and its terms and conditions.

Approval or Rejection of the Application

We reserve the right to approve or reject ANY Affiliate Program Application at our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Application.

Commissions

Commissions will be paid once a month. For an Affiliate to receive a commission, the referred account must remain active for a minimum of 31 days.

You cannot refer yourself, and you will not receive a commission on your own accounts.

Payments will only be sent for transactions that have been successfully completed. Transactions that result in chargebacks or refunds will not be paid out.

Termination

Your affiliate application and status in the Program may be suspended or terminated for any of the following reasons:

Inappropriate advertisements (false claims, misleading hyperlinks, etc.).
Spamming (mass email, mass newsgroup posting, etc.).
Advertising on sites containing or promoting illegal activities.
Failure to disclose the affiliate relationship for any promotion that qualifies as an endorsement under existing Federal Trade Commission guidelines and regulations, or any applicable state laws.
Violation of intellectual property rights. DARCSUD reserves the right to require license agreements from those who employ trademarks of DARCSUD in order to protect our intellectual property rights.
Offering rebates, coupons, or other form of promised kick-backs from your affiliate commission as an incentive. Adding bonuses or bundling other products with DARCSUD, however, is acceptable.
Self referrals, fraudulent transactions, suspected Affiliate fraud.

In addition to the foregoing, DARCSUD reserves the right to terminate any Affiliate account at any time, for any violations of this Agreement or no reason.

Affiliate Links

You may use graphic and text links both on your website and within in your email messages. You may also advertise the DARCSUD site in online and offline classified ads, magazines, and newspapers.

You may use the graphics and text provided by us, or you may create your own as long as they are deemed appropriate according to the conditions and not in violation as outlined in the Termination section.

Coupon and Deal Sites

DARCSUD occasionally offers coupon to select affiliates and to our newsletter subscribers. If you’re not pre-approved / assigned a branded coupon, then you’re not allowed to promote the coupon. Below are the terms that apply for any affiliate who is considering the promotion of our products in relation to a deal or coupon:

Affiliates may not use misleading text on affiliate links, buttons or images to imply that anything besides currently authorized deals to the specific affiliate.
Affiliates may not bid on DARCSUD Coupons, DARCSUD Discounts or other phrases implying coupons are available.
Affiliates may not generate pop-ups, pop-unders, iframes, frames, or any other seen or unseen actions that set affiliate cookies unless the user has expressed a clear and explicit interest in activating a specific savings by clicking on a clearly marked link, button or image for that particular coupon or deal. Your link must send the visitor to the merchant site.
User must be able to see coupon/deal/savings information and details before an affiliate cookie is set (i.e. “click here to see coupons and open a window to merchant site” is NOT allowed).
Affiliate sites may not have “Click for (or to see) Deal/Coupon” or any variation, when there are no coupons or deals available, and the click opens the merchant site or sets a cookie. Affiliates with such text on the merchant landing page will be removed from the program immediately.

Pay Per Click (PPC) Policy

PPC bidding is NOT allowed without prior written permission.

Liability

DARCSUD will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s).

We do not make any expressed or implied warranties with respect to the Program and/or the memberships or products sold by DARCSUD. We make no claim that the operation of the Program and/or our website(s) will be error-free and we will not be liable for any interruptions or errors.

Term of the Agreement

The term of this Agreement begins upon your acceptance in the Program and will end when your Affiliate account is terminated.

The terms and conditions of this agreement may be modified by us at any time. If any modification to the terms and conditions of this Agreement are unacceptable to you, your only choice is to terminate your Affiliate account. Your continuing participation in the Program will constitute your acceptance of any change.

Indemnification

Affiliate shall indemnify and hold harmless DARCSUD and its affiliate and subsidiary companies, officers, directors, employees, licensees, successors and assigns, including those licensed or authorized by DARCSUD to transmit and distribute materials, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Agreement due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Affiliate.

Electronic Signatures Effective

The Agreement is an electronic contract that sets out the legally binding terms of your participation in the DARCSUD affiliate program. You indicate your acceptance of this Agreement and all of the terms and conditions contained or referenced in this Agreement by completing the DARCSUD application process. This action creates an electronic signature that has the same legal force and effect as a handwritten signature.
